Worker Misclassification Risk

The legal risk that a contractor relationship is reclassified as employment by local authorities, triggering retroactive tax, severance, and benefit obligations.

Worker Misclassification occurs when a person engaged as an independent contractor is legally determined to be an employee. Tax authorities and labor courts apply "reality tests" that look beyond contract labels to actual working conditions.

  • Legal costs: $25,000–$150,000 depending on complexity

How to Avoid Misclassification

The only structural solution is converting CON-Strategic arrangements to EOR-Core (GEMM-01). Proper contract language helps but does not eliminate risk — courts look at the reality of the working relationship, not the contract.

Misclassification Risk is a key risk factor in all CON-track modes (GEMM-05–08). GEMM-05 CON-Strategic carries the highest misclassification risk of all 16 modes due to its embedded, exclusive nature.
